not good candidates for deduplication:
- Hyper-V hosts
- VDI VHDs
- WSUS
- Servers running SQL Server or Exchange Server
- Files approaching or larger than, 1 TB in size

I am going to assume implicit in your answer is that the reasons for deduplication are stand alone.
And the fact that a 2008 R2 server was upgraded to Server 2012 is does not factor into the decision.
