Transferring DHCP and FSMO Roles

Hello,
We have 3 Windows 2003 DC and windows 2008 R2 DC with Exchange server 2010. One of the 2003 server hardware is 2 years old.This is the server holding FSMO roles and DHCP I am planning to install 2008 R2 on this server and transfer back all the roles.
Now my question is transferring all the roles from this server to 2008 or 2003? Is it ok if i transfer all the roles to 2008, is it going to be overloaded?
Please i need suggestion

It's recommended to keep the PDC emulator role on a powerful server, so it depend to server performance.

A DC could be able to hold 5 roles itself, it is not overloaded.

Installing Exchange Server on a DC is not recommended for security and performance reasons. It also makes troubleshooting too complicated especially if this DC was tombstoned.
I would highly recommend installing Exchange Server on a member server.
Now my question is transferring all the roles from this server to 2008 or 2003? Is it ok if i transfer all the roles to 2008, is it going to be overloaded?
Since this will be temporary, you can move them to any DC, demote the server, re-install it, promote it again and transfer FSMO roles back to. For more details about the BEst practices when assigning FSMO roles: http://windowsdevcenter.com/pub/a/windows/2004/06/15/fsmo.html
Note that it is always recommended that the DC with higher OS is the most recommended one to be the FSMO holder. This is because it is supposed to have the higher performance.
For overloading, note that this usually may be caused due to high processing of tasks related to the PDC Emulator and RID master FSMO roles. But, if you are not in a highly dynamic AD environment, there should be no problems.
