Merge two forests

My company has two forests (AD 2003) and each forest has their exchange server 2003.
one is a parent company ~ parentdomain.com
one is a subsidiary ~ subsidiarydomain.com
Management would like to merge them to one forest. My idea is that creates one sub domain (subdomain.com) under parentdomain.com and use ADMT to move account of subsidiarydomain.com to subdomain.com.
I have two questions:
1. Does any more simple method to merge them?e.g. Can I create one new domain and joined these two domains (parentdomain.com & subsidiarydomain.com) as a sub domains?
2. How can I move the mailbox between two forest?

Besides for ADMT, you can also consider using RenDom.exe to restructure a forest.
