AnswerWindows 2008 & WMS 9.5 Reliability

We have some issues migrating from w2003+WMS 9 to W2008+WMS9.5 on a audio live unicast streaming environment for 10000 users.
    - First the memory requirements for the w2008 installation(new installation) are higher than w2003 box for the same user load. W2008 appears to keep using almost all the memory without releasing it even when the user load is near 0. Memory leak ?
    - We had to disable all NIC´s offload features to keep windows 2008 working. With all this features enabled we had 4 times a week a situation where we can’t even connect with other servers from the W2008 BOX( all firewall profiles are off). On that situations we had logs like as a collateral effects :
Rpc server is unavailabe ( event id 5719 NeTLOGON)
Group policy errors ( event id 1129 Grouppolicy )

We tried different NIC´s drivers without success.

    - With the above situations solved ( with more memory and disabling the NICS offload features ) we still had a situation even worst . The WMServer.exe stopped working without a reason. With loads of 6000 or 100 users, day or night, weekends or weekdays the service keeps restarting. We see no explanation to that . The event viewer presents this errors:

The Windows Media Services service terminated unexpectedly.  It has done this 1 time(s).  The following corrective action will be taken in 60000 milliseconds: Restart the service.

Faulting application WMServer.exe, version 9.5.6001.18000, time stamp 0x479f0320, faulting module WMSServer.dll, version 9.5.6001.18223, time stamp 0x49a7e000, exception code 0xc0000005, fault offset 0x000000000028c0bd, process id 0x88c, application start time 0x01c9cc133b78e86a.

On one week the Server reliability goes from a perfect 10 to a non acceptable 5.

    There is the environment
    2x Windows Server Enterprise 2008 sp1 , 64bits  behind a Checkpoint firewall.

    NLB 50% LOAD
    Windows Media Server 9.5 with KB960372 .
    Server Proliant HP DL360 G5

Any solutions for the wmserver.exe error  ?

With this situation we prefer not migrate to Windows 2008 and keep using w2003. At least we could save money on memory K.

    Thanks
