    Currently I'm at an organization that is still running on AD functional level 2003 (yes old-school).  They have seperate DNS/WINS systems - a certificate server - and an exchange server (sp2).

    My question - I was thinking of bringing up a new windows 2008 R2 server...doing the dcprep on the 2003 DC (that has all roles)...then doing a dcpromo on the new 2008 R2 server - and running it at an AD functional 2003 level. Will I have to upgrade the DNS/WINS systems and cert server before the dcpromo - and also will exchange 2003 (yes old-school again) coexist peacefully in a 2008 r2 server/2003 functional-level environment?  That would give me some 'breathing-room' to head toward exchange 2010 in the coming year.

    Thanks so much for any ideas/help anyone can provide me. :o)

    OK. Questions ?

    1.Your AD is on one server?

    2.Your CA is on the other server?

    3.Your Exchange is on the therd server?

    You can bring up one Server 2008R2, run the dcpromo, and promote this server to the DC. That is not a problem. Even if you have the 2008R2 server as a DC, domain and forest functionality doesnt have to be on 2008 level.

    Ad is on one server - it's actually on two...but the roles are all on one.  the other two are 'backups'/'DCs'

    CA is yes on another server and is running as an AD CA (which I'd love to remove because only does CA for AD and no other certs)

    Exchange is on the third server - just as a member Exch 2003 (sp2) server.

    Some people have said to do as you say - and some folks say not to because is creates issues.  I really think mostly like you do - it makes sense to me that if AD's running at a functional 2003 level still, exch will be fine. 

    Also is it okay to still bring up a 2008 R2 DC with dns/wins running 2003 server?

    ...then after upgrading DNS/WINS, CA, and other DCs - later I'm thinking to install exchange 2010 while AD in 2003 functional level...migrate mailboxes/change email flow - then after all is running smoothly bring up to 2008 functional level.

    Please, dont hurry with implementation and any kind of upgrade before consult an experet.

    Upgrading domain and forest functionality is one thing, upgrading CA and Exchange is completly other thing. CA upgrade is very complicated and somethimes ask alot of time and expertise to do soo. Upgrading Exchange Server is almost the same thing.

    You can upgrade all DCs,DNS and WINS servers, but with CA and Exchange be carefull.
