I was shipped a 32bit Professional upgrade by the PC mfg. and I guess I choose 32bit when I placed my order. If I install the 32bit, will I be able to upgrade to the 64bit or will it require a new clean installation.

There are no inplace upgrades when changing from 32 bit to 64 bit or vice versa. A clean install is required.

You may be able to enter the key but if it's already been activated you won't be able to activate it. The reason I say may is because the key has to match the version and edition, e.g OEM, retail, Pro, Ultimate, etc. Some OEM keys will work for both 32 bit and 64 bit. Some won't. There are too many variables to know if it will work in advance.

Thanks for the INSTANT reply Kerry.

Not looking to circumvent licensing, but do you think my 32bit key would work for my colleagues 64bit upgrade?
