Error installing FEP 2010 - Install failed with exit code 536870920

  I am trying to install FEP 2010 (either via SCCM deployment or manually) and neither methods are working. Here is what i am seeing in both log files. This is working fine for all other servers just not this one. 

  Windows 2003 x64 SP2, no other AV is install (Trend was removed prior and server was rebooted)
