  Hi,
  You can't move your Exchange 2003 Server to Exchange 2010. What you need to do is to install Exchange 2010 and run it in coexistans with Exchange 2003 and then move mailboxes, public folders etc to the new server.
  
  Two good starting points would be to run the Exchange Pre-Deployment Analyzer, to check that your ORG or ready for Exchange 2010 and also the Deployment Assistant.

  In addition, please note, Exchange 2010 doesn't support coexistence with Exchange 2003 versions prior to SP2.

  This document provides an overview of the planning considerations and configuration steps that you must take when Exchange 2010 will coexist with Exchange 2003. Have a check.
