in a 2 node cluster,  the quorm owner is the active cluster when the cluster fails.
but what happens when the quorum owner fails? the other nodes knows that he isnt the quorum owner so he wont form a cluster....

Cluster nodes continually poll each other over the cluster networks to ensure that the nodes are still alive. If the node owning the quorum fails, the other nodes of the cluster will notice the loss of network connectivity and attempt to arbitrate for the quorum disk. If this quorum arbitration is successful, the surviving node will bring the quorum disk online and the cluster will continue on this surviving node.

You can get more details in the following articles...these are for Windows 2003 clusters and there are technical differences in 2008 (quorum arbitration is a different process), but the basic concepts are the same:

ok,thanks for the reply.but what i still dont understand is the following; the heartbeat conenction fails. both nodes think the other node isnt available anymore so the node that isnt quorum owner(lets say node b) start the arbitrage for ownership...wil he get ownership or not and why(not)???

wait, understand it now. the owner communicates with the quorum and tells the quorum that he is still available
