Hello,
moving the complete server on hardware installed is not supported as you run into driver problems. http://support.microsoft.com/kb/249694
In your case install a new DC/DNS/GC in the existing domain and transfer FSMO roles, reconfigure the time service on the new PDCEmulator and the after testing with the first DC shutdown that everything works, start the older DC again and demote it.
Install additional http://technet.microsoft.com/en-us/library/cc733027(v=ws.10).aspx Transfer FSMO roles http://support.microsoft.com/kb/255690, still applies to the new OS versions.
Reconfigure time service according to http://msmvps.com/blogs/mweber/archive/2010/06/27/time-configuration-in-a-windows-domain.aspx
On client machines ONLY the new DNS server must be added to the NIC, either fixed ip addresses or the DHCP scope must be adjusted for the new DNS server.
After demoting the old DC and deleting it from AD UC assure also, to remove it from AD sites and services, as this is not done during demotion process.
Keep in mind that using at least 2 DC/DNS/GC per domain is recommended for failover and redundancy.
