    I am specifying a conversion utility from SQL 2005 to SQL 2008

    Whilst it seems to make little sense, our customers may have a 64 bit version of SQL 2005 and a 32 bit version of SQL 2008.  Whilst the 32 bit to 64 bit migration is provided for by default, can you simply attach a database that was attached to a 64 bit SQL Server to a 32 bit server and expect it to work?

     Yes, db file format is the same across editions and 32/64. And you can go up in versions but not down.
