SCCM 2012 Install Issue "Another program requires the server to be restarted before Setup can continue"

It looks like connect.microsoft.com is no longer taking questions so...

I am trying to install SCCM 2012 (RC) -- SQL is on a seperate server (rebooted 3 times). I get the error: "Another program requires the server to be restarted before Setup can continue"

I checked (on both servers)

HKEY_LOCAL_MACHINE\SYSTEM\CurrentControlSet\Control\Session Manager\PendingFileRenameOperationsHKEY_LOCAL_MACHINE\Software\Microsoft\Windows\CurrentVersion\RunOnce\HKEY_LOCAL_MACHINE\Software\Microsoft\Windows\CurrentVersion\RunOnceEx\
All are clear....

Any ideas?
